Terms of Use

1. Introduction and acceptance

By accessing or using Prastav, you agree to these Terms of Use. If you use Prastav on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Who may use Prastav

Prastav is intended for business users and organizations. You may use Prastav only if you can form a binding agreement and comply with applicable law, these terms, and your organization's policies.

3. Accounts and workspace administration

You are responsible for accurate account information, protecting credentials, managing workspace users, assigning roles and permissions appropriately, and all activity that occurs through your account or workspace.

4. Subscriptions, trials, renewals, and billing

Access to Prastav may be offered under free, trial, paid, internal, demo, or test plans. Subscription features, limits, prices, billing cycles, trial periods, renewal terms, and payment requirements are shown during checkout, in the service, or on the Pricing page where applicable. Prastav may verify prices, discounts, taxes, and activation status before updating a subscription.

5. Payments and payment providers

Payments may be processed by Razorpay or another configured payment provider. Payment provider terms and policies may apply. Prastav does not directly store card, UPI, netbanking, or wallet credentials.

6. Taxes

Prices may exclude applicable taxes unless stated otherwise. You are responsible for taxes, duties, levies, or similar charges associated with your use of Prastav, except taxes based on Prastav's net income.

7. Cancellations and refunds

You may cancel your subscription according to the cancellation controls or instructions available in Prastav or provided by support. Unless a plan, checkout page, written agreement, or applicable law says otherwise, fees already paid are generally non-refundable after activation. 8. Digital delivery

Prastav is a cloud-based software service. No physical product is shipped. Account access, subscription features, and digital services are provided online through the Prastav web application after account activation, subscription activation, or successful checkout, as applicable. 9. License to use the service

Subject to these terms and your subscription, Prastav grants you a limited, non-exclusive, non-transferable right to access and use the service for your internal business workflows.

10. Customer data and proposal content

You retain rights to the customer data, proposal content, templates, product records, service records, uploaded files, and business information you submit to Prastav. You grant Prastav the rights needed to host, process, transmit, display, back up, and operate that data to provide the service.

11. User responsibility for customer/prospect data

You are responsible for ensuring that customer, prospect, contact, employee, and third-party data entered into Prastav is collected and processed lawfully and that you have provided any required notices or obtained required consents.

12. Proposal accuracy, pricing, and business decisions

Prastav helps prepare proposals and pricing workflows, but you remain responsible for reviewing proposal content, quantities, dimensions, taxes, prices, discounts, terms, and business decisions before sending proposals or accepting orders.

13. Acceptable use

You agree to use Prastav only for lawful business purposes and not to upload unlawful content, infringe rights, send abusive communications, interfere with service operation, or use Prastav to harm others.

14. Restrictions

You must not reverse engineer Prastav, bypass security controls, scrape or overload the service, attempt unauthorized access, share credentials, resell the service without permission, or use Prastav to build a competing service except where law prohibits this restriction.

15. Integrations and third-party services

Prastav may connect with third-party services such as Google, Microsoft, payment providers, email providers, hosting providers, analytics providers, or external data services. Your use of third-party services may be governed by their own terms and policies. Prastav is not responsible for third-party service changes, outages, data handling, or authorization decisions.

16. Cloud service availability

Prastav is provided as a cloud service. We aim to operate it reliably, but availability may be affected by maintenance, updates, outages, provider issues, security events, internet conditions, or circumstances outside our control.

17. Security and backups

We use reasonable safeguards designed to protect the service. You are responsible for secure user administration, permission management, endpoint security, and maintaining any exports or backups you require outside Prastav. Backups may not be available for every data item or every point in time.

18. Intellectual property

Prastav and its software, designs, workflows, documentation, branding, and technology are owned by Prastav or its licensors. These terms do not transfer ownership of Prastav intellectual property to you.

19. Feedback

If you provide feedback, suggestions, or ideas, Prastav may use them without restriction or obligation to you, provided we do not disclose your confidential information in doing so.

20. Confidentiality, if applicable

If either party receives non-public information that should reasonably be understood as confidential, that party must use reasonable care to protect it and use it only for purposes related to Prastav, unless disclosure is required by law. A separate written agreement may add confidentiality terms for enterprise or custom arrangements.

21. Suspension and termination

We may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts due, misuse the service, or if continued access could harm Prastav, users, or third parties. You may stop using Prastav at any time, subject to applicable subscription terms.

22. Disclaimers

Prastav is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that the service will be uninterrupted, error-free, or that proposal outputs will be suitable for every business or legal purpose.

23. Limitation of liability

To the maximum extent permitted by law, Prastav will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, or business interruption. Unless applicable law requires otherwise or a separate written agreement states a different cap, Prastav's total liability for claims relating to the service is limited to the amounts paid by you for Prastav during the three months before the event giving rise to the claim, or INR 10,000 if no paid amounts apply.

24. Indemnity, if appropriate

You agree to defend and indemnify Prastav from claims arising from your unlawful use of the service, your customer data, your proposal content, your violation of these terms, or your violation of third-party rights, to the extent permitted by applicable law.

25. Changes to the service or terms

We may update the service and these terms from time to time. Updated terms will be posted on this page with a revised last updated date. Continued use after changes become effective means you accept the updated terms.

26. Governing law and disputes

These terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory dispute forum required by applicable law, courts in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes relating to these terms or Prastav.
